Article 7 Liability for overdue delivery

Except for force majeure, if Party A fails to deliver the parking space to Party A within the time limit and conditions stipulated in Article 6, it shall be dealt with in the following manner:
除不可抗力外，甲方未按照第六条约定的期限和条件将该车位交付甲方的，按照下列方式处理：

Article 8 Handover Procedures

Article 9 Commitment to Use
第九条使用承诺
During the use of the parking lot, Party B shall not change the purpose and the main structure and load-bearing structure of the building where the parking lot is located without authorization.
乙方使用该车位期间，不得擅自改变用途和该车位所在楼栋的建筑主体结构，承重结构。
Unless otherwise agreed herein, the Supplementary Agreement and its annexes, Party B shall have the right to use the shared parts and facilities related to the parking space with other right holders during the use of the parking space, and shall assume the obligations according to the shared parts and the shared area of the shared house.
除本合同、补充协议及其附件另有约定者外，乙方在使用该车位期间有权与其他权利人共同使用与该车位有关的共用部位和设施，并按照共用部位与共用房屋分摊面积承担义务。
Party A shall not change the nature of use of the common parts and facilities related to the parking space without authorization.
甲方不得擅自改变与该车位有关的共用部位和设施的使用性质。
Article 10 Property management

Article 11 Change of ownership
第十一条所有权变更
During the term hereof, Party A shall have the right to sell the parking space.
本合同使用期限内，甲方有权出售本停车位。
If Party A sells the parking space, Party A shall notify Party B of the sale price and payment requirements at least _____ days in advance, and Party B shall have the right of priority to purchase the parking space under the same conditions.

Article 12 Notice
第十二条通知
Any notice required or permitted by this Contract, however delivered, shall be effective upon actual receipt by the notified party.
本合同要求或允许的通知，不论以何种方式传递均自被通知一方实际收到时生效。
The term "actual receipt" in the preceding paragraph means the arrival of the contents of the notice or communication at the legal address or domicile of the communicated person (domicile specified in this Contract) or within the range of the designated mailing address.
前款中的“实际收到”是指通知或通讯内容到达被通讯人（在本合同中列明的`住所）的法定地址或住所或指定的通讯地址范围。
If either party changes its notification or mailing address, it shall notify the other party of the changed address within _____ days from the date of change; otherwise, the party making the change shall be liable for all consequences caused thereby.

甲乙双方因合作经营甲方酒店客人用车事宜,特达成如下合作合同,供双方共同遵守: This contract is made by and between Party A and Party B, whereby both parties agree to the terms and conditions as stipulated hereinafter:
一、 合作基本方式
Scope of work
双方共同经营(以下简称)车辆接送客人业务。乙方提供车辆及驾驶员，甲方负责轿车接送客业务安排及驾驶员管理。双方按约获得利润分成，承担责任按经营分工，各负责任。乙方应提供明细的收费项目表给甲方，甲方有权就收费情况给予意见。
Party A and Party B agree to manage (hereinafter referred to as””) guest transportation together. Party B provides car and driver, Party B is in charge of guest transportation task and driver management. Party A and Party B will share the profit according to the contract. Party B shall provide standard price list with details to Party A, Party B has the right to comment and advise the price.
二、 甲方权利义务
Rights and responsibilities of Party A
1、甲方负责安排、提供酒店轿车接送客人业务，且该业务甲方只能按本合同约定安排由乙方车辆接送，不能安排其他非乙方车辆接送。
Party A is responsible for arranging and providing hotel cars for guest. Party A can only use Party B’s car according to the contract.
2、甲方应做好轿车接送客人的业务管理工作，每日予以记录业务清单与应收报酬，每周甲乙双方核对客人用车经营收入。
Party A shall ensure proper administration, such as recording the daily business inventories and compensation receivable. Party A and Party B shall review the business income weekly.
3、甲方有权按本合同约定获得利润及有义务承担相应责任。甲方提供三个免费停车位。
Party A has the right to obtain the stipulated share of profit and is obliged to related responsibilities Party A should provide 3 complimentary parking lots to Party B.
三、 乙方权利义务
Rights and Obligations of Party B
1、乙方需提供蒙迪欧、奥迪A6、别克GL8、丰田考斯特等车型为甲方客人提供接送服务。
Party B shall provide 2 Mendeo, , AudiA6, BuickGL8，Toyota Coaster including other models of car as per guest(s) request.
2、乙方提供相应驾驶员，经营甲方接送客业务，驾驶员必须服从酒店管理。
Party B shall provide professional licensed drivers who must follow the rules and regulations of the hotel.
3、驾驶员服装按甲方要求由乙方自备，乙方应保证所提供之车辆车况及驾驶员之服务，着装符合甲方酒店服务标准，如有违反甲方将给予乙方书面警告并建议乙方更换驾驶员，上述书面警告累计达三次以上如乙方仍无改进，甲方有权考虑终止合同。
Party B shall responsible for the drivers’ uniform based on the glooming standard and requirement by the hotel. Violation of this regulation will result in warning letter and driver change. Party A can terminate this contract if Warning letter amounted to more than three times
4、乙方提供的上述车辆来源以乙方有权合法使用为原则，不以车辆所有权归属为限。 Party B shall guarantee the legal use rights of the cars, it will not be limited by the ownership of the cars.
5、乙方应负责办理好车辆的保险，保险费全部由乙方承担。

6、乙方应负责其提供的轿车的日常维修工作。
Party B should be responsible for daily car maintenance.
7、乙方有权利按本合同约定获得利润及有义务承担相应责任。

四、 甲方客人用车费用的'收取
Guest Transportation charge
本合作事项所产生的收益，即甲方客人的用车费用，由甲方先行收取。

五、 经营成本负担
Management cost
1、甲方的管理成本由甲方自行承担，均包含在本合同约定的甲方收入内。 According to the contract party A’s management cost is to be borne by Party A , which is included in party A’s income

A、乙方所提供的轿车购置成本费用由乙方自行承担，车辆所有权属于乙方。甲方对乙方提供的车辆不享有所有权。

B、驾驶员工资收入。

C、车辆及驾驶员的保险费用。

Car maintenance fee / petrol fee /road toll fee.
六、 收入分配
Revenue distribution
1、本合作事项为双方利润分成形式。即因本合作每月所产生的收入，甲方获得25%作为本合作收入，其余75%全部收入由乙方所得。 Based on the terms and conditions of the contract the benefit pattern is that both sides share the profits. All the income from every month’s co-operation, Party

Above revenue includes all guest transportation charge from hotel, all the income shall be charged by party A, party B is not entitled to charge for guests. Party A’s compensation use of the car is not included in the revenue, it will be checked up by another way.
3、本条所指收入，双方按月予以结算。即在每月1-5号内结算上月收入，并在结算后2日内予以分配。
Revenue should be cleared on the 1st to 5th of each month and distributed in 2 days.
4、甲方客人所需车型超出乙方提供车型，由乙方负责协调外调。外调车除去调车成本后，所余利润部分甲方获取25%，乙方获取75%。
If the guests of Party A want another type of car which Party B can’t provide, Party B is responsible for coordinating it. Deducting the coordination costs, Party A will own 30% of the rest profits; Party B will own 70% of the rest profits.
七、 经营相关责任承担
Distribution of the related responsibilities
1、因本合作事项产生损害结果，包括但不限于车辆损失、驾乘人员损伤、第三方损失均由乙方自行承担与解决。
Party B shall be borne damages which includes, without limitation, car damage, driver and passenger injury and all third party loss.
2、若以上损害系第三方原因造成的，需以甲方名义予以解决的，则甲方应予以解决。届时，甲方可自行或委托乙方处理，但甲方因此产生的各项费用由乙方承担。同时，甲方向第三方获得的各项赔偿应返还给乙方。
If the above damages are caused by a third party and need Party A to solve, Party A shall assist. All cost resulted shall be borne by Party B. The compensation that Party A obtained shall be returned to Party B.
八、 特别约定
Special agreement
客人所需要消费发票由甲方提供，扣除甲方获得利润，余下部分乙方每月结帐时全额开据发票结帐。
Party A shall provide invoice as required, Party B shall provide full invoice on monthly clearing.
本合同全作期限限为壹年，从签约时算起，合同期满后，如双方就继续合作没有异议，此合同自动顺延一个合同期。 This contract will take effect from the signing date. After expiration of contract it can be extended for another year thereafter if agreed.
九、 合同的解除，终止
Termination
1、本合同存续期间，任何一方非因法定或约定事由均不得解除本合同，否则，视为违约解除合同，应按本合同作相应处理。 The parties shall perform their obligations stipulated in the contract. No party shall unilaterally modify or rescind the contract.
2、本合同方经协商一致，可以解除本合同。协商解除本合同的，双方互不违约。 The Agreement can be terminated upon agreement of both sides.
3、合同到期，双方如不再续签合同，合同终止。双方应做好最后结算工作。
This agreement shall automatically terminate, without notice by either party to the other, when it expires.
十、 违约责任
Default
本合同存续期间，任何一方非因法定事由均不得无故解除本合同。否则，视为违约，违约方应向守约方支付违约金贰拾万元整。此款包括了因一方解除合同后给另一方造成的全部损失、赔偿金等。任何一方不得以本条约定的违约金过高为由向法院起诉要求降低。 The parties shall perform their obligations stipulated in the contract. No any party shall unilaterally modify or rescind the contract. Violation of this regulation, default party should pay 200,000 to the other party.
十一、争议的解决
Dispute
甲乙双方因本合同发生争议的，应协商处理，协商不成的，由甲方所在地人民法院管辖。
Any dispute during execution of the contract shall be resolved by mutual friendly negotiation. Upon failure of negotiation, disputes shall be submitted to arbitration committee.
十二、其他
Miscellaneous
本合同经甲乙双方盖章后生效。本合同一式肆份，甲乙双方各执贰份。本合同未尽事宜，双方可签订补充合同，补充合同与本合同具有同等效力。
The Contract shall come into force after signatures by both parties. The Contract is in four (4) originals, two (2) for Party A and two (2) for Party B. If need, both sides are entitled to sign a supplemental contract, which is also effective as this contract.

第一条 租赁范围及用途：

2、甲方在签订合同之时将房屋交给乙方使用。
第六条 乙方责任和义务：
1、乙方应按合同的规定，按时支付租金及其它各项费用，且合法使用房屋，不得从事违法乱纪活动。
2、未经甲方和有关部门书面同意，乙方不得将房屋的结构作任何改动，乙方对该房屋的装饰应以不损坏该房产整体结构和设施为原则，并征得甲方同意。
3、在租赁期间，乙方对于出租房屋未经甲方同意不得以任何形式转租、转让、转借、抵押、联营或其他有损甲方利益的行为。
4、承租期内，由被盗、火灾等事故造成损失，和乙方人为造成事故，损害甲方房屋的，由乙方负责。
5、乙方在未违反租约的前提下，有权优先续租该房屋。如要求续租，在本合同期满前三个月向甲方提出申请，再由双方另行商议续租事宜。
第七条 合同的解除
本合同除发生下列情形外，合同期内完全有效，不得单方解除。
1、租赁期届满。
2、因乙方过错严重造成房屋毁损的。
3、出现不可抗力造成房屋毁损达不到使用目的的。
4、政府强制征收或拆除该房屋的。
5、乙方迟延交付房租超过10天的。
第八条 违约责任
任何一方因违约造成终止合同的应向对方赔偿合同总值的10%_违约金，并赔偿其他的一切损失和费用。
第九条 补充约定：
承租期内，若因国家政策变动或不可抗力的因素需要提前终止本合同，甲方应提前半个月通知乙方，乙方必须按通知要求办理终止合同手续，按时退出所租用房屋，甲方不承担由此造成的任何损失，但甲方必须负责退还乙方已交房租但未使用完时间的租金。
第十条甲方应提供产权证（或具有出租权有效证明）、身份证明（营业执照）等文件，乙方应提供身份证明文件。双方验证后可复印对方文件备存。所有复印件仅供本次租赁合同使用。
第十一条 本合同在履行中发生争议，应及时协商解决，协商不成时，任何一方均可向商铺所在地人民法院提起诉讼。
第十二条 本合同未尽事项，经甲、乙双方协商一致，可订立补充条款。补充条款及附件均为与本合同组成部分，与本合同具有同等法律效力。
第十三条 本合同经双方签章即生效。本合同一式两份，甲、乙双方各执一份。

This Term Sheet is not a legally binding agreement between the Investors and the Company, except the sections of “Confidentiality”, “Exclusivity” and “Administrative Fee”.
Notwithstanding anything to the contrary, any obligations of the Investors to complete or provide funding for any transaction, whether contemplated herein or otherwise, are subject to the receipt of internal approvals, completion of due diligence to the satisfaction of the Investors in their sole and absolute discretion, and the parties having negotiated, approved, executed and delivered the appropriate definitive agreements. Until execution and delivery of such definitive agreements, the Investors shall have the absolute right to terminate all negotiations for any reason without liability.
Exclusivity
The Company agrees that within forty five (45) days from the date of the signing of this Term Sheet, the Company and its shareholders, board members, employees and their respective relatives or affiliates shall not, directly or indirectly, take any action to solicit or support any inquiry, proposal or offer form, furnish any information to or participate in any negotiations or discussions with, any third party, or enter into any
agreement or arrangement, regarding any equity/debt funding or sale, without the prior written consent of the Investors.
This exclusivity is automatically extended to the period necessary for the Company to satisfy the closing conditions outlined in the Stock Purchase Agreement section of this Term Sheet. Notwithstanding the
foregoing, if neither the Company nor the Investors give written notice of its wish to terminate this Term Sheet at least five days prior to the end of the exclusivity period, the Term Sheet shall remain in full force and effect, and the Company shall continue to negotiate exclusively with the Investors until the Company or the Investors give written notice of termination.
In this Term Sheet,
"$" or "dollar" means United States dollars;
"Ordinary Share Holders" mean the holders of Ordinary Shares;
"Preferred Shares" mean shares of the Series A Preferred Stock; and
"Shareholders" mean holders of Ordinary Shares and Preferred Shares.

And
Mr.* ***,R/o China, refereed to as the LESSEE of the OTHER PART.(Expression “LESSOR” and “LESSEE” wherever the context so permit shall always mean and include their respective heirs, successors legal representative and assignees).

In case of disconnection of any facility due to non-payment, LESSEE will be responsible to get them restored and pay the same. All dues must be cleared before the expiry of the LEASE.
6. The LESSEE shall keep and maintain the said premises in good and tenantable conditions during the tenure of the lease.
THE LESSOR HEREBY CONVENANTS WITH THE LESSEE AS FOLLOWING:-
1. To pay all existing and future rate, taxes assessments and other charges of a public nature whether impose by the Municipality, Government or any other authority in respect of DEMISED PREMISES.
2. Not to erect or set up a building or structure on the DEMISES PREMISES nor to add to any existing building or structure during the period of lease or any renewal without the written consent of the LESSEE.

3、乙方在租用期内，不得改变房屋结构及其设施；使用中如有损坏或管道堵塞，应予修复、疏通，费用自理。乙方如需要其它装修须征得甲方同意，费用自理；乙方退租或租期到期如需拆除装修请同时恢复房屋原貌，产生费用由乙方自理。
4、甲方不分担乙方在租房期内对其自身造成的损失和对第三方造成的任何道德、经济、经营和法律责任及损失。
5、乙方要遵守小区管理公约，公共区域不得堆放杂物及垃圾，保证公共区域的整洁，保证自己与他人的生命和财产安全，如有事故发生，责任由乙方自负。
6、乙方租赁期间由乙方使用产生的水、电、电视、网络、燃气等任何相关费用由乙方按时、足额缴纳，如有失误与欠费引起的任何纠纷，甲方不负任何责任，租赁结束时，乙方须交清欠费。
第六条本合同经甲乙各方协商一致、同意、签名盖章后生效，签订之日为本协议的生效日期；所有条款必须执行、本合同内所涉违约的违约金金额为人民币_____元，凡乙方违约将支付给甲方违约金外，甲方将收回房屋，并且乙方根据本合同条款缴清各种费用及所有应付款。本合同在双方签字并且由乙方支付押金及首笔租金后生效。

第九条 原租房者在遵守前期合同的情况下，可以获得优先续租权，但必须在原租期结束日前一个月与甲方重新签订租房合同，租金在前期合同租金基础上逐年递增，提增幅度根椐当年情况确定，原则上在15%—20%。在原租期已到期，新的续租协议还未签订的情况下，甲方将收回房屋，不再签约续租。
第十条执 行本合同产生争议，双方应协商解决，协商不能解决可提交租赁房屋所在地人民法院裁决。本协议壹式四份，甲乙各方及房屋共有人和租房共同使用人各执壹份。

五、 保证金 deposit
1. 为确保房屋及其附属设施之安全与完好，及租赁期内相关费用之如期结算，乙方同意于______年_____月_____日前支付给甲方保证金人民币 _________元整，甲方在收到保证金后予以书面签收。

3. 因乙方违反本合同的规定而产生的违约金、损坏赔偿金和其它相关费用，甲方可在保证金中抵扣，不足部分乙方必须在接到甲方付款通知后十日内补足。
in case party b breaches this contract, party a has right to deduct the default fine, compensation for damage or any other expenses from the deposit . in case the deposit is not sufficient to cover such items, party b should pay the insufficiency within ten days after receiving the written notice of payment from party a.
六、 甲方义务 obligations of party a
1. 甲方须按时将房屋及附属设施（详见附件）交付乙方使用。
party a will provide the premises and attached facilities (see the appendix of furniture list for detail) on schedule to party b for using.
2. 房屋设施如因质量原因、自然损耗或灾害而受到损坏，甲方有修缮并承担相关费用的责任。
in case the premise and attached facilities are damaged by quality problems, natural damages or disasters, party a will be responsible to repair and pay the relevant expenses.
3. 甲方应确保出租的房屋享有出租的权利，反之如乙方权益因此遭受损害，甲方应负赔偿责任。
party a will guarantee the lease right of the premises. otherwise, party a will be responsible to compensate party bs losses.
七、 乙方义务 obligations of party b
1. 乙方应按合同的.规定按时支付定金、租金及保证金。
party b will pay the rental, the deposit and other expenses on time.
2. 乙方经甲方同意，可在房屋内添置设备。租赁期满后，乙方将添置的设备搬走，并保证不影响房屋的完好及正常使用。
party b may decorate the premises and add new facilities with party as approval. when this contract expires, party b may take away the added facilities which are removable without changing the good conditions of the premises for normal use.
3. 未经甲方同意，乙方不得将承租的房屋转租或分租，并爱护使用该房屋如因乙方过失或过错致使房屋及设施受损，乙方应承担赔偿责任。
party b will not transfer the lease of the premises or sublet it without party as approval and should take good care of the premises. otherwise, party b will be responsible to compensate any damages of the premises and attached facilities caused by its fault and negligence.
4. 乙方应按本合同规定合法使用该房屋，不得擅自改变使用性质。乙方不得在该房屋内存放危险物品。否则，如该房屋及附属设施因此受损，乙方应承担全部责任。
party b will use the premises lawfully according to this contract without changing the nature of the premises and storing hazardous materials in it. otherwise, party b will be responsible for the damages caused by it
5. 乙方应承担租赁期内的水、电、煤气、电讯、收视费、等一切因实际使用而产生的费用，并按单如期缴纳。
party b will bear the cost of utilities such as communications, water, electricity, gas, management fee etc. on time during the lease term.
八、 合同终止及解除的规定 termination and dissolution of the contract
1. 乙方在租赁期满后如需退租或续租，应提前两个月通知甲方，由双方另行协商退租或续租事宜。在同等条件下乙方享有优先续租权。
within two months before the contract expires, party b will notify party a if it intends to extend the leasehold. in this situation, two parties will discuss matters over the extension.
2. 租赁期满后，乙方应在当天将房屋交还甲方；任何滞留物，如未取得甲方谅解，均视为放弃，任凭甲方处置，乙方决无异议。
when the lease term expires, party b will return the premises and attached facilities to party a within days. any belongings left in it without party as previous understanding will be deemed to be abandoned by party b. in this situation, party a has the right to dispose of it and party a will raise no objection.
3. 本合同一经双方签字后立即生效；未经双方同意，不得任意终止，如有未尽事宜，甲、乙双方可另行协商。
this contract will be effective after being signed by both parties. any party has no right to terminate this contract without another partys agreement. anything not covered in this contract will be discussed separately by both parties
九、 违约及处理 breach of the contract
1. 甲、乙双方任何一方在未征得对方谅解的情况下，不履行本合同规定条款，导致本合同中途中止，则视为该方违约，双方同意违约金为人民币___________元整，若违约金不足弥补无过错方之损失，则违约方还需就不足部分支付赔偿金。

A. Analyze Advertiser’s current and proposed products and services and present and potential markets.
